1. Introduction
1.1 Service Offering
Amplify Insight Rentals ("Amplify," "we," "us," or "our") offers software-as-a-service tools for rental fleet management, including booking management, analytics, customer communications, and contract templates (collectively, the "Services").
1.2 Updates to Terms
We reserve the right to revise these Terms at our discretion. All changes become effective immediately upon posting on the platform and apply to all subsequent access and use. Continued use of the Services after an update constitutes acceptance of the revised Terms.
1.3 Eligibility
You may not access the Services if you cannot form a binding agreement, reside in an embargoed country, or do not agree to these Terms. Feature availability may vary by jurisdiction.
1.4 Language and Translation
In case of discrepancies between the English version of these Terms and any translation, the English version prevails.
2. Services and Additional Terms
2.1 General Use
The platform provides booking, fleet, customer, and analytics tools along with contract templates. Contract templates are provided for informational purposes only and do not constitute legal advice. You should consult a legal professional to verify compliance with applicable laws.
2.2 Third-Party Integrations
The Services may integrate with third-party services (payment processors, email and SMS providers, storage providers, calendar providers, and others). These third-party services operate under their own terms. We disclaim all responsibility for issues arising from their use, and their availability may vary by country.
2.3 Lawful Use
You must comply with applicable laws and avoid any infringement, disruption, or illegal activity in connection with your use of the Services.
2.4 Service Limitations
We may modify, suspend, or discontinue any aspect of the Services at any time without prior notice, with no liability for disruptions.
2.5 Availability by Jurisdiction
Features and pricing may vary by jurisdiction and country of registration. We have no obligation to provide any feature in any jurisdiction, and the absence of a feature does not trigger a refund or compensation.
3. Restrictions and Prohibited Uses
3.1 Platform Restrictions
Prohibited actions include, without limitation:
- Reverse engineering, decompiling, or disassembling the Services
- Creating competing software based on the Services
- Introducing malware, viruses, or other malicious code
- Using automated scraping, crawling, or data-extraction tools
- Exploiting platform vulnerabilities or attempting unauthorized access
3.2 Prohibited Content
You may not upload content that infringes intellectual property rights, contains false or misleading information, promotes illegal activities, or is otherwise deemed inappropriate by us.
4. Accounts and Security
4.1 Account Registration
Accurate account information is required. You are responsible for protecting your credentials and for all activity that occurs under your account.
4.2 Security Obligations
You must protect your login credentials. We are not liable for unauthorized access resulting from your failure to secure your account.
4.3 Account Suspension and Termination
We may suspend or terminate accounts for misuse or violation of these Terms without prior notice.
5. Payments and Billing
5.1 Payment Terms
Third-party processors handle payments under their own terms. Currency conversion occurs at processor rates beyond our control.
5.2 Refund Policy
Refunds are evaluated at our discretion per our refund policy. Where no separate refund policy applies, fees are non-refundable.
5.3 Late Payments
Non-payment may result in restricted access to the Services or account termination.
5.4 Platform Subscription — INSIGHT Tier
Paying tenants are billed under the INSIGHT plan at USD $99.00 per month, charged automatically via Stripe to the payment method you provide. Billing renews on the date you first subscribed. By accepting these Terms during checkout you authorize the recurring monthly charge until you cancel from your Billing page.
5.5 Past-Due Access Restrictions
If a charge fails, your subscription enters a past-due state and Stripe retries per its standard dunning schedule. To protect platform integrity we apply two automatic enforcement steps:
- 5 days past due: admin login is restricted — you can still reach the Billing page to restore payment, but other admin routes are inaccessible.
- 10 days past due: programmatic API keys issued to your tenant are revoked. Restoring payment automatically re-enables them.
A successful payment clears the past-due state on the next webhook from Stripe (typically within seconds), restoring full access.
5.6 Cancellation
You may cancel at any time from the Stripe billing portal linked from your Billing page. Cancellation takes effect at the end of the current paid period; your data remains accessible until then, subject to the off-boarding retention timeline shown in your admin settings.
6. Chargebacks and Disputes
You bear the costs of any payment disputes initiated by your customers in connection with your use of the Services. If a payment processor charges Amplify for a dispute attributable to your activity, Amplify reserves the right to recover the full disputed amount, plus any related fees, from you. This may include automatic debiting of your account on file.
7. Intellectual Property
7.1 Ownership
We own all platform content, software, trademarks, and related intellectual property. We grant you a non-exclusive, revocable license to access and use the Services in accordance with these Terms.
7.2 Restrictions
You may not copy our content, use our trademarks without consent, or claim ownership of any intellectual property we provide.
8. Disclaimers
8.1 General Disclaimer
The Services are provided "as is" and "as available," without warranties of any kind, including but not limited to warranties regarding contract template accuracy, fitness for a particular purpose, or uninterrupted availability.
8.2 Limitation of Liability
To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services.
9. Indemnification
You agree to indemnify and hold Amplify harmless from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your breach of these Terms, or your violation of any third-party rights.
10. Termination
We may terminate or suspend your access to the Services for any violation of these Terms or any activity that, in our judgment, harms the platform or other users.
11. Governing Law and Dispute Resolution
11.1 Governing Law
These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict-of-law principles.
11.2 Arbitration
Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration under the rules of the American Arbitration Association, with the venue located in Florida, USA. You waive any right to a jury trial and to participate in a class action.
12. General Provisions
12.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Amplify regarding the Services.
12.2 Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force and effect.
12.3 Assignment
You may not assign your rights under these Terms without our consent. We may assign our rights without restriction.
